These terms are the agreement between RecLabs and each client who subscribes to a RecLabs product. The general terms apply to every product. Each product has a schedule at the end that adds what is specific to it; if a schedule and the general terms disagree, the schedule wins for that product. A client accepts these terms by ticking the box on the Stripe payment page, or by signing an order form that refers to them.
1. Who this agreement is between
- Us: RecLabs Ltd, a company registered in England and Wales, company number 17327528, registered office 521 Cambridge Heath Road, London E2 9FS, VAT number 524 7684 67 ("RecLabs", "we", "us").
- You: the business named on the Stripe payment page or order form ("you", "the client").
The person accepting these terms confirms they have authority to bind that business.
2. What the words mean
- Product: a RecLabs software product described in a schedule to these terms, such as Lars.
- Schedule: the part at the end of these terms that describes one product, its plans and its prices.
- Plan: the size of subscription you choose for a product, for example a number of slots or users.
- User: one named person at your business with a login.
- Connected account: a user's own account on a third-party platform, which they connect to a product so it can act for them.
- Start date: the date shown on your Stripe subscription.
- Contract period: the length of commitment you chose, starting on the start date.
- Your data: lists, names and notes you give us, and anything our products produce for you.
3. Our products
- We provide the products on your subscription, for your users, during the contract period. Each product is described in its schedule.
- Our products work from publicly available information and data from third parties. They report likely signals, not certainties. Scores, opinions and suggestions are guidance to help you decide; they are not guarantees.
- We keep improving our products and may change how their features work.
- We aim to keep our products available, but interruptions are expected from time to time. Section 4 explains what happens when they occur.
- Each product, and each separately priced part of a product, is a separate service. A problem with one does not affect your subscription, fees or contract for another.
- Plans larger than those in a schedule are agreed separately in writing.
3A. Use of AI
- Our products use artificial intelligence (AI) to read information, score people and companies, write opinions and summaries, answer questions in chat, and draft messages.
- AI can get things wrong. Its output may be inaccurate, incomplete, out of date or invented, and it may misread or misunderstand information.
- You should check anything important before you rely on it or act on it, especially before a message is sent in your name.
- AI output is a starting point to help your own judgement. It is not professional, legal or employment advice, and it is not a statement of fact about any person.
4. Interruptions
Our products rely on outside services, including third-party platforms and data suppliers. From time to time these services change how they work, which can briefly interrupt our products. We always work to keep this to a minimum and to keep you informed. Because these interruptions are outside our control, they are not a breach of this agreement — instead, this section sets out how we put things right.
By an interruption we mean a time when a product (or a separately priced part of it) can't do its main job, for reasons outside your control.
| How long | What we'll do |
|---|---|
| Up to 2 weeks in any 12 months | We restore the service as quickly as we can. This is within normal expectations, so no refund applies. |
| More than 2 weeks in any 12 months | We refund your fees for the time beyond the first 2 weeks, and your subscription carries on as normal. |
| More than 8 weeks in a row | You're free to end your contract by letting us know in writing, with nothing further to pay after it ends. |
- We'll let you know when an interruption starts and when it's resolved.
- Refunds are worked out per day from your monthly fee and paid back to your payment method, or credited to your next bill if you'd prefer.
- These are the remedies that apply to an interruption.
5. Contract length, renewal and cancelling
Whatever the contract period, you pay monthly. The contract period is how long you commit to. The contract lengths available for each product are in its schedule.
- Automatic renewal. At the end of each contract period, your subscription renews for the same length on our prices at that time, so your service carries on without a break.
- If you'd like to stop renewal, just email billing@reclabs.ai at least 7 days before the renewal date. Your service will then end at the end of the current contract period.
- Fixed-length contracts. A 6- or 12-month contract runs for its full period (apart from the situations in sections 4 and 9), and its monthly payments continue until the end of that period, even if you stop using the product.
- Moving up. You're welcome to move to a bigger plan, more users or a longer contract at any time. A longer contract starts a new contract period from the date of the change.
- Moving down. A smaller plan or a shorter contract takes effect from your next renewal.
6. Prices and payment
Each product's schedule explains how it is priced. Your prices, and the currency you pay in, are shown on your Stripe payment page or order form. All prices exclude VAT or other sales taxes, which are added where they apply.
- You pay monthly in advance by card or Direct Debit through Stripe, starting on the start date. Stripe takes each payment automatically.
- If a payment doesn't go through, Stripe will try again and we'll get in touch to help sort it out. If it's still unpaid 15 days after the due date, we may pause your service until it's paid, or end the agreement by written notice — in which case the remaining payments for the contract period become due. Any paused time doesn't extend your contract period.
- We may update prices at renewal, and we'll always give you at least 30 days' notice before the renewal date.
- Prices in other currencies, or anything agreed outside a schedule, will be confirmed in writing or on your Stripe payment page.
7. Your responsibilities
- Please keep logins private. Each login is for one named user.
- Please use our products for lawful recruitment and business purposes, and contact people in a way that meets data protection and marketing law.
- Connected accounts. Messages are sent from your users' connected accounts and in their name, so each user remains responsible for their own account and for following that platform's terms. We design Engage to send at a careful pace, but platforms can limit or restrict accounts in ways we can't control, so we can't be responsible for a restriction a platform places on an account.
- You review and approve messages, unless you've chosen to let a product send a type of message without approval. Messages sent with your approval or settings are your responsibility.
- Our products and their outputs are for use within your business. Please don't copy, resell or share them outside it, or try to copy or reverse-engineer how they work.
- If you think a login has been misused, please let us know straight away.
Sensitive data. Our products don't need sensitive data, so please don't upload passwords, payment card or bank details, government ID numbers, or special category data (such as health, ethnicity or religion).
8. Data protection and your data
- Both of us will follow UK data protection law (the UK GDPR and the Data Protection Act 2018).
- Your data stays yours. We use it only to provide our products to you and to keep them working, secure and improving.
- Your data is mainly stored in the UK. Some of our suppliers process it in the European Economic Area or other countries, with appropriate safeguards in place as required by UK data protection law. We use trusted suppliers to run our products, including for hosting, data collection, AI processing, messaging and payments. A current list is available on request.
- We keep data secure using access controls, and only people who need it to run our products can see it.
- Our privacy notice explains how we handle personal data.
9. When the agreement ends
- Your access runs to the end of the last day of your contract period. From the next day, the product stops working and your access is closed.
- Before it ends, you're welcome to ask us for an export of your lists.
- We delete your data within 90 days of the end date. Public profile information about a person that another RecLabs client also tracks may be kept for that client, but it will no longer be linked to you.
- If either of us seriously breaks this agreement and doesn't put it right within 14 days of being asked, or becomes insolvent, the other may end it straight away by written notice.
- If the agreement ends because of your breach, the remaining payments for the contract period are still due. If it ends because of ours, we'll refund anything you've paid for the period after it ends.
10. Liability
- Our total liability to you is limited to the fees you paid us in the 6 months before the claim arose.
- We aren't liable for lost profits, lost placements or fees, lost business or other indirect losses, or for decisions made based on our products' scores, opinions or suggestions.
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law doesn't allow to be limited.
Claims arising from your use. If a claim is made against us because of a breach of these terms on your side, a message sent in your name or with your approval, or data used in a way that breaks the law, you agree to cover our reasonable costs, losses and legal fees.
11. Ownership
We own our products and everything that makes them work. You own your data. You may use what our products produce for you within your business.
12. Confidentiality
Each of us keeps the other's non-public business information confidential, during and after this agreement, unless the law requires it to be shared.
13. General
- Changes to these terms. We may update these terms from time to time. Any changes apply from your next renewal, and we'll let you know at least 30 days before.
- Notices go by email: to us at billing@reclabs.ai, and to you at the email on your Stripe account.
- Whole agreement. These terms, your Stripe subscription details and anything we agree in writing together make up the whole agreement between us.
- Transfer. You'll need our written agreement to transfer this agreement to someone else. We may transfer it to a company that takes over the relevant product.
- Law. English law applies, and the courts of England and Wales decide any dispute.
Events outside our control. We are not liable for failing or delaying to do anything under these terms because of something beyond our reasonable control, such as a failure of networks, power or suppliers, or action by a government or regulator. Section 4 still applies to interruptions.
If part of these terms is invalid, the rest still applies.
Not enforcing a term straight away does not stop us enforcing it later.
No partnership. These terms do not create a partnership, joint venture or employment relationship, and neither of us can bind the other.
Schedule 1 — Lars
This schedule applies when your subscription includes Lars.
S1.1 What Lars is
- Lars Intelligence: monitors publicly available professional profile information for the people you track, and gives you changes, scores, opinions, a dashboard, chat and a weekly digest.
- Lars Engage: an optional add-on. Lars drafts and, with your approval, sends messages and connection invitations from your users' connected accounts.
- Lars Companies: an optional add-on. Lars adds company-level insights (such as leadership changes, ownership changes, headcount and hiring trends) for the companies you add, up to the number of companies on your plan.
- Slot: one tracked person. Your Lars Intelligence plan sets how many slots you have.
S1.2 Intelligence and its add-ons are separate
- Lars Intelligence, Lars Engage and Lars Companies are separate services, each with its own price. Engage and Companies are optional add-ons to Intelligence.
- If a platform limits, restricts or closes a user's connected account, Engage stops for that user.
- Anything that affects Engage does not affect Lars Intelligence. Your Intelligence subscription, its fees and its contract period carry on as normal.
- A platform restriction on one of your users' connected accounts is not an interruption under section 4, and no refund is due for it.
S1.3 Contract lengths and add-ons
- Lars Intelligence is available on a monthly (rolling), 6-month or 12-month contract. Longer contracts have a lower price per slot.
- Lars Engage is charged per user per month on monthly and 6-month contracts, and is included free on a 12-month contract.
- Lars Companies is charged per company per month on every contract length and is never included free.
S1.4 Lars Intelligence plans
Lars Intelligence is priced by slot band: 500, 1,000, 1,500, 2,000, 3,000, 5,000 or 10,000 slots. Your monthly price depends on your band and contract length, with a minimum of £50 a month (or the equivalent shown in your currency).
S1.5 Lars Companies plans
Lars Companies is priced by company band: 50, 100, 150, 250 or 500 companies.
You can add as many companies as you like to view; your plan sets how many receive company insights. Plans above 500 companies are agreed separately in writing.
S1.6 Changing your plan
- To track more people, you move to a larger slot band; the new price applies from your next monthly bill.
- Plans above 10,000 slots are agreed separately in writing.
Schedule 2 — Alex
To be added when Alex is available.
